Terms and Conditions

These Terms and Conditions ("Agreement") govern the use of Loyally ("Company," "we," "us," or "our"), a marketing automation and advertising service provider for pet care businesses. By using our services, you agree to the terms outlined in this Agreement. If you do not agree to these terms, do not use our services.

1. Services Provided

Loyally provides marketing services, including but not limited to:

  • Digital advertising campaigns (Google Ads, Facebook, Instagram, and other platforms) with client approval.

  • Marketing automation, including SMS, email, and phone call outreach.

  • Lead generation, customer engagement, and retention strategies.

  • Review management and loyalty program tools.

We make no guarantees on the success of any campaign, and results will vary depending on numerous factors beyond our control.

2. Client Responsibilities

By using our services, you agree that:

  • You have the legal right to use and provide access to all content, customer data, and marketing materials submitted to us.

  • You are responsible for complying with applicable laws, including TCPA (Telephone Consumer Protection Act), CAN-SPAM Act, and other consumer protection laws related to SMS, email, and telemarketing.

  • You grant us permission to run advertising and marketing campaigns on your behalf, including paid ads, SMS, email, and calls to your customers and leads.

  • You will provide timely feedback and approvals as needed for campaign execution.

3. Advertising and Marketing Automation

  • All advertising campaigns require client approval before launch.

  • Marketing automation (including SMS, emails, and calls) is used in accordance with best practices and applicable laws.

  • We are not responsible for any legal claims arising from your business's use of our marketing automation tools. You are solely responsible for ensuring compliance with relevant marketing laws.

  • Clients are responsible for obtaining consent from their customers before engaging in SMS or phone outreach.

4. Payments & Billing

  • All services are billed monthly or as outlined in your subscription plan.

  • Fees for advertising (e.g., ad spend on Google/Facebook) are separate from our service fees and will be charged directly to the client’s ad account or invoiced accordingly.

  • Late payments may result in service suspension or termination.

  • Refunds are not provided for services already rendered or campaigns already launched.

5. Intellectual Property

  • Clients retain ownership of all branding, logos, and original content provided for marketing purposes.

  • Loyally owns any proprietary marketing strategies, automation workflows, and campaign data collected in the course of providing services.

6. Data Protection & Privacy

  • We will not sell or share client or customer data with third parties without consent.

  • Clients must ensure their customer data complies with applicable privacy laws.

  • Loyally is not liable for any misuse or breach of client customer data.

7. Liability & Disclaimers

  • We do not guarantee specific results from marketing campaigns.

  • We are not responsible for losses resulting from advertising or marketing activities.

  • Clients assume all responsibility for legal compliance regarding their customer outreach and advertising practices.

  • Loyally is not liable for any third-party actions, including platform bans, advertising account suspensions, or penalties due to client actions.

8. Termination & Cancellation

  • This Agreement is governed by the laws of the State of Maryland, United States.

    Any disputes shall be resolved through binding arbitration in Maryland.

9. Governing Law

  • Either party may terminate services with 30 days' written notice.

  • Cancellation does not entitle the client to refunds for unused services within the billing period.

  • Any outstanding fees or invoices must be paid in full before termination.

10. Changes to Terms

  • We reserve the right to update these Terms and Conditions at any time.

    Continued use of our services after changes take effect constitutes acceptance of the new terms.
